Acceptance of Terms

Valve Biz provides member services (hereafter the “Service”) to Valve Biz’s members according to the terms and conditions set out under this Terms of Use Agreement (hereafter the “Agreement”). When you enter and make use of Valve Biz www.valve-biz.com ( hereafter the “Website”), it is understood that you have read, acknowledged and agreed to enter into this Agreement with Valve Biz, and have accepted all the rules, terms of services, exemption statements etc contained within the therein.

Valve Biz reserves the right to amend the Agreement from time to time in our sole discretion; it is recommended that you are to review this Agreement at all times to keep up to date with all amendments or alterations. Should there be any changes to the Agreement, Valve Biz will post such changes on the Website. If you do not accept the amended Agreement, you must discontinue use of the Service at the first instance. The amended and restated Agreement shall be effective immediately upon posting. Valve Biz reserves the right to alter or discontinue any of the Service (or any part thereof) and has no responsibility to you or any third parties.

This Valve Biz Terms of Use Agreement is a service contract between you and Valve Biz. Should you disagree with any terms contained within this Agreement, or the regions or countries you are located in precludes any part or all of the terms whatsoever under this Agreement, you must discontinue the use of the member Service provided by Valve Biz immediately.

Description of Services

Valve Biz provides a platform for online for global trade and various exchanges of goods and services, including company listing, product displays, inventory sales, trade leads, news releases, advertisement, etc.

Valve Biz’s Website is the commonplace for users to find potential business partners, carry out business enquiries and obtain all types of trade related information. However, Valve Biz is not responsible for product warranties of any kind, including but not limited to its quality, safety, nor that the information obtained from the use of the Service will be accurate or reliable, and disclaims any members’ ability or willingness to fulfill any obligations.

Registration Requirements and Obligations

To register for the Service, by law you must be 18 years or over or a legal business entity. If you are registered with Valve Biz as a company or other legal entity, you represent and guarantee that you have the actual or apparent authority to bind the company or the entity to this Agreement.

Please follow the registration process and provide accurate, true and complete information about yourself or your company. If there are any changes, please update data immediately to ensure your or your company details are accurate, true and complete. If you or the company you represent do not supply honest data, or if you register in others names which infringes others’ rights or is illegal, you or your company should be legally responsible for all consequences arising from such actions.

If the information supplied by you is incorrect, dishonest or is altered which differs from original information provided to us, Valve Biz reserves the right to terminate your membership and all (or any part thereof) of the Service at any time at our sole discretion.

Membership I.D. and Password

You will receive a Membership I.D. and Password upon completion of the registration process. You are solely and totally responsible for protecting the confidentiality of your Membership I.D. and Password and against any unauthorized use. You agree to immediately notify Valve Biz of any unauthorized use of your Membership I.D. and Password or any other breach of security when you become aware of such breach. Valve Biz will not be liable for any loss or damage arising from your failure to comply with this section.

Privacy Policy and Data Protection

The data searched and used by you or your company, is regulated and protected by Law of Personal Data Processed by Computers, related laws of Taiwan, and Privacy Policy of Valve Biz.

Privacy Policy of Valve Biz forms part of the Agreement, please read it carefully. Once you agree Valve Biz to post any part or all of your or your company details on the Website, it is understood by you or your company that such details would be obtained and used by others.

User Responsibility and Guarantee

You or your company agrees that all information provided to Valve Biz:

  1. Is not for any unlawful purposes or shall not conduct any illegal activities within the Website that are prohibited by applicable law;

  2. Shall not post or transmit in any other way, any material that are illegal, defamatory, offensive, indecent, obscene, vulgar, harmful, threatening, libelous, unlawful or seditious;

  3. Shall not publish or transact via the Website sales of any items that will expose Valve Biz to the risk of violating any applicable law, statute, ordinance or regulation, or any items which would be deemed to be unsuitable or should be prohibited by Valve Biz;

  4. Shall not solicit commercial activities that reproduces, sells or on-sells Service provided by Valve Biz;

  5. Shall not in any way infringe or otherwise abet or encourage the infringement or violation of any third party’s copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity or privacy, Valve Biz reserves the right to remove any contents at any time in our sole discretion;

  6. Shall not use any destructive devices, software or programs or any other way to, or attempt to, interfere with, all ordinary operations or any commercial transactions taking place on the Valve Biz Website;

  7. Shall not post or transmit any computer virus or programs that would damage, interfere with, intercept or expropriate any software or hardware system, data or information;

  8. Shall not use any third parties’ account to enter or use the Service provided by Valve Biz, or collect personal information such as contact email and other information of the others without authorization.

Payment

Payments can be made by PAYPAL or by way of direct wire transfer.

Rights Granted by You

Under this Agreement you agree to grant to Valve Biz the right to use, copy, modify, reproduce, publish, distribute and exhibit your information and content or reproduce derivative works.

Exemptions

Your information, including these supplied by you during registration process, while transacting or listing products to Valve Biz, or all data, text, software, music, sound, photo, graphics, video, message or other materials that are supplied to other users, you are entirely responsible for all of its contents, Valve Biz only posts and lists information online, Valve Biz does not control and is not liable to or responsible for the lawfulness of the information supplied to Valve Biz, nor is Valve Biz responsible to other members for such information which they obtained via the Service.

All information contained within Valve Biz’s Website are provided on an “as is” basis, and hereby expressly disclaims any warranties, expressed or otherwise implied, regarding the accuracy or correctness of the contents of any advertisements, display of products or any other commercial information contained therein.

Should you choose to transact with other manufacturers or suppliers for their products or services on Valve Biz, you and the involved parties will be bound by relevant contracts without any involvement of Valve Biz. Whenever there are arguments arising from product or service defects, dispute or disagreement, you should contact the involved manufacturers or suppliers directly, Valve Biz is not responsible under any circumstances whatsoever.

Valve Biz is not responsible or liable for any direct, indirect, occasional, special or consequential losses, including but not limited to losses that arise from acts of nature, wars, riots, insurrections, regulations of domestic or foreign government, fires, flood, strikes, labor disputes, telecommunications or any other equipment failures, hacker attacks, computer viruses, ISP service adjustments etc.

General Provisions

All communication and notices with Valve Biz should be in the form of emails.

Valve Biz shall have the right to assign its obligations and duties under this Agreement to any person or entity without prior notice or your approval.

Valve Biz has the right to terminate or suspend membership services, partially or in full, to those members who violate the terms of the Agreement, and the right to remove all information provided by such members from Valve Biz’s Website. Any legal actions, accusations and claims made against Valve Biz caused by members violating any terms under the Agreement, Valve Biz has the right to recover all losses, including but not limited to, damage of goodwill, legal fees, litigation fees and reconciliatory fees etc.

If any provision herein is held to be invalid or unenforceable, such provision shall be struck and the validity and enforceability of the remaining provisions shall stay unaffected.

Governing Law and Jurisdiction

The interpretation and applicability of this service Agreement, and any arguments or disputes in relation to the Agreement, shall be governed in all respects by the laws of Taiwan, under the jurisdiction of Taiwan Taichung District Court.
